  2. 2The order of the steps is designed and tested before anything is signed
  3. 3HMRC clearance is sought first, so questions are answered while the plan is still a plan

  5. 5Confidential from the first conversation, by introduction or direct

A larger private group rarely has one problem. It has several companies, property alongside trade, shareholders at different stages of life, lenders with security over some assets, and often a sale, a succession or an investment somewhere on the horizon. A reorganisation touches all of it at once.

ASWATAX advises owners and boards of private groups on demergers, reconstructions, pre-sale reorganisations and succession splits. We work quietly, with a small senior team, and we design the plan so that each step supports the next.

Who this is for

  • Owners and boards of private groups with several companies, with value of £10m or more.
  • Groups that hold property and a trade together, where a buyer, a lender or the next generation will want them apart.
  • Families whose branches want to go separate ways without selling to a third party.
  • Shareholders preparing for a sale, an investment or a succession, who want the group in order first.
  • Advisers acting for a group of this kind, who want a specialist tax team alongside them.
Inserting a holding company
Before

After
The shareholders swap their shares in the trading company for new shares in a holding company, so they own the same business in the same proportions, one level up. With the conditions met, and HMRC clearance obtained first, there is no capital gains tax and no stamp duty on the exchange.

After
A new holding company is inserted and then reduces its share capital; in return, the business being separated passes to a second new company, which issues its shares to the same shareholders. No distributable reserves are needed, and it works for property and investment businesses.
Demerging a group
Before
SHAREHOLDERSHoldCo LtdTradeCothe tradePropCothe property
After
The group is split so that the shareholders own two separate companies side by side: one holding the trade, the other the property. Done properly, with HMRC clearances, the split can be free of capital gains tax and income tax, leaving the trade ready to sell or pass on.

The statutory clearances for a reorganisation can be requested in a single application. HMRC can ask for more information within 30 days and must give its decision within 30 days of receiving everything it needs, so a complete, well-evidenced application keeps the timetable short.

What we handle

  • Demergers. Splitting one company or group into two or more, by capital reduction, statutory demerger or liquidation, depending on which fits. See Capital Reduction Demerger.
  • Reconstructions and share exchanges. Placing a new holding company above a group, merging companies, or moving a business within a group. See Corporate Restructuring and Holding Company.
  • Pre-sale reorganisations. Separating property and surplus cash from the trade, protecting reliefs and presenting a clean business to a buyer. See Exit Planning and Transaction Tax.
  • Succession splits. Dividing a group between family branches or partners, with the inheritance tax position of each considered. See Succession and Retirement Planning.
  • HMRC clearance. Preparing and submitting statutory clearance applications, and answering HMRC's questions.
  • The edges. Stamp duty, SDLT, VAT, employee and contract questions, and the accounting entries, coordinated with the right specialists.

What we look at in a group of this size

  1. The commercial reason. Under the main purpose test, a genuine commercial case is the foundation of the relief.
  2. Trading status. Where cash and investments sit, and whether the 20% non-trading indicator HMRC uses for Business Asset Disposal Relief and the substantial shareholding exemption is at risk.
  3. Property. SDLT group relief and its three-year withdrawal rule, valuations, and the position of the lender.
  4. Shareholders. Who is in, who is out, minority holders, and whether everyone is treated on the same terms.
  5. Reserves and solvency. Whether the route chosen has what it needs, such as distributable reserves for a capital reduction.
  6. Stamp duty. The 0.5% charge on shares, and whether the conditions for relief can be met.
  7. What comes next. A sale, an investment or a handover, and the holding periods the next step needs.

How an engagement runs

1. A confidential first conversation. We listen first. We ask what you want the group to look like in three years, and what stands in the way. If you prefer, we start with a hypothetical.

2. Scope. We agree in writing what we will look at, who will be involved and the timetable.

3. The step plan. The senior team compares the routes, tests each step against the next and we design the step plan. You receive the step plan in writing, with the tax at each stage, the risks and the reasons for the order.

4. Clearance first. Where it is worth doing, we prepare and submit the HMRC clearance application before any step is taken, and deal with HMRC's questions. If the answer changes the step plan, it changes while it is still only a plan.

5. Implementation. Our in-house legal team can prepare and execute the documents. If you prefer your own law firm, we brief them and review their drafts for tax. We work with your bankers on consents and with your auditors on the accounting entries, to one shared timetable.

6. After completion. We make sure the filings are done and the reliefs are claimed, and we give your accountant a clear picture of how to maintain the new structure.

Every plan is reviewed by a Chartered Tax Adviser, and you work with the same senior team from the first conversation to completion. We reply the same working day.

Working with your other advisers

We do not replace your lawyers, bankers, auditors or accountants. We are the tax specialists in the room.

  • Lawyers. Ours or yours. Where you keep your own firm, we say what the documents must achieve and check them before they are signed.
  • Bankers and lenders. We identify the points where consent or a release of security is likely, early enough to build into the timetable.
  • Auditors and accountants. We provide the step plan we design and the accounting entries so the books match the tax analysis. See our article on accounting entries in demergers.
  • Corporate finance advisers. Where a sale is planned, we align the reorganisation with the buyer's process and the tax terms of the sale agreement.

Proof

We have advised 300+ clients, restructured £250m+ of businesses in groups of up to £50m, and obtained 100% of the HMRC clearances we have applied for, across 100+ applications. We are Rated 5.0 on Google.

These case studies show the kind of work involved. Each is anonymised, and each depends on its own facts.

Past outcomes do not guarantee future ones. The tax result always depends on the facts, the conditions being met and HMRC's view.

Confidentiality

Discretion is part of the service. We keep your information confidential and restrict it to the people who need it. We keep matters separate from other clients, and we process personal data under UK GDPR. We agree at the start who may speak to whom, and in what order. If you want further safeguards, we will discuss them in the first conversation.

Why ASWATAX

We are a small, specialist firm of Chartered Tax Advisers. You are not passed between departments, and the people you meet at the start are the people doing the work. We start from the commercial outcome and work back to the route. We will tell you plainly if a simpler step, or doing nothing, is the better advice.

For the technical detail of demergers, see our specialist practice at demergertax.co.uk, and for holding companies, holding-company.co.uk.

058 questions

Questions, answered.

Straight answers to what clients ask us most. Your own situation may differ, so treat them as a starting point.

Q1What size of group do you act for?

Mostly private groups with several companies, a mix of trading and property, and value of £10m or more. We have restructured more than £250m of businesses, in groups of up to £50m. Smaller groups are welcome too, but this service is designed for situations where the structure, the number of parties and the tax at stake call for a senior team and a longer plan.

Q2Why does the order of the steps matter so much?

Because each step changes the facts for the next. A property move can lose SDLT group relief if a company is later planned to leave the group, and that relief can be withdrawn if the buyer leaves the group within three years. A share exchange can affect Business Asset Disposal Relief and stamp duty relief. We map the whole sequence first, test each step against the next, and only then fix the order.

Q3How does the main purpose test affect a large reorganisation?

Since 26 November 2025, relief under the share exchange and reconstruction rules can be denied where a main purpose of the arrangements is to reduce or avoid capital gains tax or corporation tax. HMRC guidance says a restructure with genuine commercial aims, and only a deferral of tax, is not caught. For a large group, we write the commercial case down at the start and build the plan and any clearance application around it.

Q4Do you always apply for HMRC clearance?

Not always, but on a group of this size it is usually worth considering. Statutory clearance lets HMRC confirm in advance that a specific relief will not be denied on anti-avoidance grounds, and HMRC must reply within 30 days of a complete application. We have obtained 100% of the clearances we have applied for, across 100+ applications. We advise on whether to apply and what to include, and nothing is implemented until the answer is in.

Q5How do you work with our solicitors, bankers and auditors?

We fit into the team you already have. We have an in-house legal team that can prepare and execute the documents, and where you prefer to keep your own law firm, we brief them on what the documents must achieve and review the drafts for tax. We design the step plan and share it, with a single timetable, with your lawyers, bankers and auditors, so lender consents, valuations and accounting entries follow the same sequence as the tax.

Q6Can you separate property from a trading business before a sale?

Yes, and this is one of the most common reasons for a reorganisation. A buyer often wants the trade only, and the family wants to keep the buildings. In one of our case studies, a family group valued at £35m separated its property from its trade with no tax charge on the reorganisation itself, with all HMRC clearances granted before any step was taken. Each case turns on its own facts, so this is an illustration and not a promise.

Q7How long does a large reorganisation take?

It depends on the number of companies, the property, valuations and the parties involved. Where clearance is needed, allow two to three months from the first call, including HMRC's 30-day window, and longer for complex groups with lender consents or several shareholders. We give you a realistic timetable at the outset and keep it updated, because lenders, buyers and auditors often depend on the dates.

Q8Can a reorganisation help with succession between family branches?

Yes. A group can be split so that each branch of a family, or each business partner, takes a separate company, with the aim of a tax-neutral result. In one of our cases, two brothers divided a £6m property investment company so that each family owns 100% of its own company, with SDLT reduced to a nominal 0.5%. We also look at the inheritance tax position of each branch, so the split works for the next generation as well.

Jevon Payne, Group of companies · Google review

I first spoke to Omar over a year ago where we spoke about a Group structure and its benefits. Omar answered my questions, was patient and wasn’t pushy. I knew he was at the end of the phone when and if I received to go down that route. Eventually when we were ready to move forward with a Group structure Omar made everything simple to understand and the process has been a great experience.

Stuart Griffiths, Group structure · Google review

Worked with Aswatax on a group restructure for my property business, including setting up a holding company and aligning everything properly from a tax perspective. They were excellent throughout. The advice was clear, well thought through, and commercially focused covering CGT, stamp duty and VAT in a way that actually made sense for how the business will operate going forward. What stood out was their ability to translate strategy into something practical and executable, rather than just theory. They also handled the process end-to-end, including HMRC clearance and legal documentation, which made things seamless on my side. Would highly recommend to anyone restructuring or scaling a property business.
